Say It Well

1. Acceptance of Terms

By downloading or using Say It Well ("the app"), you agree to be bound by these Terms of Service. If you do not agree, do not use the app.

2. Age Eligibility

You must be at least 13 years old to use Say It Well. By using the app, you represent that you meet this age requirement. If you are between 13 and 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms.

3. Description of Service

Say It Well is an AI-powered writing assistant that helps you draft personal and professional messages. You answer guided questions about the context and recipient, and the app generates multiple message variations in different tones and formats (text, email, official letter). The app offers both free and premium (subscription) tiers.

5. Subscriptions and Payments

a. Premium subscription. Say It Well offers a premium subscription that unlocks additional tones, formats, and unlimited daily generations. The subscription price is displayed in the app before purchase.

b. Auto-renewal. Subscriptions automatically renew at the end of each billing period (monthly or annual) unless you cancel at least 24 hours before the current period ends. Your Apple ID or Google Play account will be charged for renewal within 24 hours prior to the end of the current period.

c. Cancellation. You can cancel your subscription at any time through your device's subscription settings (iOS: Settings > Apple ID > Subscriptions; Android: Google Play > Subscriptions). Cancellation takes effect at the end of the current billing period -- you retain access until then.

d. Refunds. Refund requests are handled by Apple (App Store) or Google (Google Play) according to their respective refund policies. Fundy Digital does not process refunds directly. To request a refund, contact Apple Support or Google Play Support.

6. Your Content

The answers you provide to guided questions are user-generated content transmitted to an AI service solely to generate your messages. Generated messages are stored only on your device. You own the messages you create using the app and may use them for any lawful purpose.

7. Acceptable Use

You agree not to:

• xUse the app to generate threatening, harassing, defamatory, or illegal content.
• xUse generated messages to impersonate another person or entity.
• xReverse engineer, decompile, or disassemble the app.
• xUse the app for bulk or automated message generation.
• xCircumvent rate limits, abuse-prevention mechanisms, or subscription restrictions.

8. Third-Party Services

The app uses Anthropic's Claude API (via a Cloudflare Worker proxy) to generate messages, Firebase for crash reporting, authentication, and app integrity verification, and Apple/Google for subscription processing. Your use of these services is also governed by their respective terms and privacy policies.

9. Intellectual Property

Say It Well and all related app content, design, and code are owned by Fundy Digital. You are granted a limited, non-exclusive, non-transferable licence to use the app for personal use. Messages generated for you are yours to use freely.

10. Indemnification

You agree to indemnify, defend, and hold harmless Fundy Digital and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your violation of these Terms; (b) your use of AI-generated content, including any messages you send to others; (c) your violation of any third-party rights; or (d) any illegal activity conducted through the app. This obligation survives termination of these Terms.

11. Disclaimer of Warranties

The app is provided "as is" without warranties of any kind, express or implied. We do not warrant that generated messages will be appropriate, accurate, or suitable for any particular purpose. AI-generated content is not professional, legal, medical, or therapeutic advice. You are solely responsible for reviewing and sending any messages.

12. Limitation of Liability

To the maximum extent permitted by law, Fundy Digital shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the app or any messages generated by it, including but not limited to damages resulting from messages you send to others.

13. Dispute Resolution and Arbitration

a. Binding arbitration. Any dispute arising from these Terms or your use of Say It Well shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in New York.

b. Class action waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

c. Opt-out. You may opt out of this arbitration provision by sending written notice to [email protected] within 30 days of first accepting these Terms.

d. Small claims exception. Either party may bring an individual action in small claims court if the claim qualifies.

14. Export Control

You represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties. The AI capabilities in this app may be subject to jurisdictional restrictions imposed by Anthropic.

15. Governing Law

These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law principles.

16. Changes to These Terms

We may update these Terms from time to time. We will update the "Last updated" date above. Continued use of the app after changes constitutes acceptance.
